These Terms of Service (“Terms”) govern your use of the Nova GLP-1 website, online services, communications, and related features made available by Nova GLP-1 (“Nova GLP-1,” “we,” “us,” or “our”).
By accessing or using our website or services, you agree to these Terms. If you do not agree with these Terms, please do not use the website or services.
These Terms are intended to explain how our website and program operate, the respective roles of Nova GLP-1 and the independent healthcare professionals who may provide medical services, and the terms that apply when you use our services.
1. Who May Use Our Services
Nova GLP-1 currently makes its services available to individuals who are physically located in Minnesota, South Dakota, North Dakota, Iowa, or Nebraska, subject to provider availability and applicable law.
Because healthcare laws and licensing requirements may depend on where a patient is physically located when receiving care, you must provide accurate information regarding your current location. Services may be unavailable if you are located outside the states in which our participating healthcare providers are authorized to provide care.
You must be at least 18 years old to use the website or participate in the services.
By using the website, you confirm that you meet these requirements and that the information you provide is accurate and complete.
2. Nova GLP-1’s Role
Nova GLP-1 provides an online and administrative platform through which individuals may obtain information and, when available, seek access to telehealth services from an independent licensed healthcare provider.
Nova GLP-1 does not practice medicine, provide medical diagnoses, prescribe medications, determine whether treatment is medically appropriate, or direct the clinical judgment of the healthcare provider.
The healthcare provider operates independently from Nova GLP-1 and is responsible for the professional medical services provided to you. This includes reviewing your medical information, determining whether you are an appropriate candidate for treatment, conducting any required consultation or examination, developing a treatment plan, deciding whether medication should be prescribed, selecting the medication and dosage when appropriate, and determining whether treatment should be continued, modified, or discontinued.
Nothing on the Nova GLP-1 website should be interpreted as medical advice from Nova GLP-1.
3. Your Relationship With the Healthcare Provider
Using the Nova GLP-1 website or completing an online health assessment does not establish a provider-patient relationship between you and Nova GLP-1.
If an independent healthcare provider agrees to evaluate or treat you, any provider-patient relationship is established directly between you and that healthcare provider in accordance with applicable law.
The independent healthcare provider—not Nova GLP-1—is responsible for your medical care and clinical decisions.
Nova GLP-1 does not guarantee that you will be accepted as a patient, qualify for treatment, receive a prescription, or be offered any particular medication or treatment plan.
4. Telehealth Services
Healthcare services made available through Nova GLP-1 may be provided through telehealth. Telehealth uses electronic communications and technology to allow a licensed healthcare professional to evaluate and communicate with a patient remotely.
Telehealth may not be appropriate for every medical condition or every patient. The independent healthcare provider determines whether telehealth is clinically appropriate and whether additional evaluation, testing, an in-person examination, or another form of care is necessary.
By participating in telehealth services, you agree to comply with the applicable telehealth consent and other instructions provided to you.
The healthcare provider will provide medical services in accordance with the laws, licensing requirements, professional standards, and telehealth requirements applicable to the state in which you are receiving care.
For purposes of the current Nova GLP-1 program, services are intended for individuals physically located in Minnesota, South Dakota, North Dakota, Iowa, and Nebraska.
5. Health Assessments and Medical Information
The website may ask you to provide information relating to your health, medical history, medications, allergies, weight, or other personal information.
You agree to provide information that is truthful, current, and complete. You should promptly correct information that becomes inaccurate or outdated.
Providing information through the website does not mean that Nova GLP-1 has diagnosed you with a medical condition or determined that a particular treatment is appropriate for you.
Clinical information is reviewed and evaluated by the independent healthcare provider when applicable.
6. Prescriptions and Medication
Certain medications require a valid prescription from a licensed healthcare provider. A prescription will only be issued if the independent healthcare provider determines that it is medically appropriate and legally permitted.
Completing a questionnaire, paying a fee, submitting medical information, or requesting treatment does not guarantee that a prescription will be issued.
The healthcare provider may determine that medication is not appropriate for you, may recommend a different treatment, or may determine that you should seek in-person or other medical care.
If a prescription is issued, it may be fulfilled by an independent pharmacy in accordance with the pharmacy’s licensing requirements and applicable law.
Nova GLP-1 does not independently select medications for individual patients and does not override the prescribing decisions of the healthcare provider.
7. Compounded Medications
In certain circumstances, an independent healthcare provider may determine that a compounded medication is appropriate for an individual patient.
Compounded medications are not FDA-approved drug products. They are not subject to the FDA’s premarket approval process for safety, effectiveness, and quality in the same manner as FDA-approved medications.
The decision to prescribe a compounded medication is made by the independent healthcare provider based on the patient’s individual circumstances and clinical needs.
Nova GLP-1 does not manufacture, compound, formulate, or alter medications.
If a compounded medication is prescribed, it will be prepared and dispensed by an independent pharmacy that is responsible for complying with applicable pharmacy laws and requirements.
8. Pharmacies
Pharmacies that may fulfill prescriptions obtained through the program are independent businesses and are responsible for their own operations, licensing, dispensing practices, labeling, packaging, and compliance with applicable law.
Nova GLP-1 does not provide pharmacy services and does not independently determine how a pharmacy prepares or dispenses a prescription.
The pharmacy used to fulfill a prescription may vary depending on factors including availability, applicable law, geographic considerations, and the requirements of the prescription.
9. Pricing and Payment
Certain services available through Nova GLP-1 may require payment.
Before completing a purchase, you will be provided with the applicable price and, where relevant, information regarding recurring charges, subscription terms, or other payment obligations.
By submitting payment information, you authorize the applicable payment processor to charge your selected payment method for amounts that you have agreed to pay.
You are responsible for ensuring that your payment information is accurate and that you have authorization to use the payment method provided.
Unless otherwise stated at the time of purchase, amounts paid for services are the responsibility of the individual purchasing the services.
10. Subscriptions and Recurring Charges
Some Nova GLP-1 services may be offered through a recurring subscription.
If you enroll in a subscription, the applicable price, billing frequency, and cancellation terms will be presented to you before you complete the purchase.
Unless you cancel in accordance with the applicable cancellation instructions, your subscription may automatically renew and your selected payment method may be charged for the next billing period.
You may cancel a subscription using the cancellation method made available to you. Cancellation of a subscription does not necessarily cancel a prescription, medical treatment, or other services already provided or authorized by an independent healthcare provider.
Any refund or credit will be governed by the refund or cancellation terms presented at the time of purchase.
11. Cash-Pay Services and Insurance
Unless expressly stated otherwise, services purchased through Nova GLP-1 are offered directly to the consumer and are not represented as a covered benefit under a health insurance plan.
You are responsible for understanding whether your insurance plan provides coverage or reimbursement for any service, consultation, medication, laboratory service, or other expense associated with your use of the program.
Nova GLP-1 does not guarantee that an insurance company, government program, employer-sponsored plan, or other third party will reimburse you for amounts paid through the program.
You should contact your insurance plan directly if you have questions about coverage or reimbursement.
12. Electronic Communications
By using the website or providing your contact information, you agree that Nova GLP-1 and, where appropriate, service providers working on our behalf may communicate with you electronically.
Communications may include account information, appointment-related information, payment notices, service updates, administrative messages, and other communications relating to your use of the website or program.
You are responsible for maintaining accurate contact information.
If you consent to receive text messages or other electronic communications, additional terms may apply, including carrier messaging rates or message-frequency disclosures where applicable.
You may have the ability to opt out of certain non-essential communications. Administrative or legally required communications may continue.
13. Website Content
The website and its contents, including text, graphics, photographs, logos, designs, videos, software, layouts, and other materials, are owned by or licensed to Nova GLP-1 unless otherwise identified.
The website and its content are provided for your personal, non-commercial use.
You may view and use the website for its intended purpose, but you may not copy, reproduce, republish, distribute, modify, sell, license, publicly display, create derivative works from, or commercially exploit website content without our prior written permission.
Nothing in these Terms gives you ownership of Nova GLP-1’s intellectual property.
14. Acceptable Use
You agree to use the website only for lawful purposes and in accordance with these Terms.
You may not use the website to impersonate another person, provide false information, interfere with the operation of the website, attempt to gain unauthorized access to accounts or systems, introduce malicious code, scrape or collect information through automated means without permission, infringe another person’s intellectual property rights, or engage in conduct that is fraudulent, abusive, threatening, harassing, or unlawful.
You may not use the website in a manner that could damage, disable, overburden, or interfere with the website or prevent another person from using the services.
We may restrict or terminate access to the website when we reasonably believe that these Terms have been violated or that the use of the website presents a security, legal, or operational concern.
15. Account Security
If you create an account, you are responsible for protecting your login credentials and for activity conducted through your account.
You agree not to share your login credentials with another person.
If you believe your account has been accessed without authorization, you should notify us as soon as possible.

These third parties operate independently from Nova GLP-1. We do not control their websites, policies, practices, or content unless expressly stated otherwise.

19. Medical Emergencies
Nova GLP-1’s website and services are not intended for emergencies.
Do not use the website to seek emergency medical assistance. If you are experiencing a medical emergency or believe you may have a condition requiring immediate attention, seek emergency medical care or contact your local emergency services.
20. No Medical Warranty or Guarantee
Nova GLP-1 does not guarantee that the website, health information, telehealth services, medications, or other services will meet your individual medical needs or produce a particular outcome.
Medical treatment involves individual circumstances and clinical judgment. The independent healthcare provider determines whether a particular service or treatment is appropriate.
Information on the website is not a substitute for individualized medical evaluation or advice from a qualified healthcare professional.
21. Website Availability
We attempt to keep the website and services available and functioning properly, but we do not promise that the website will always be accessible, uninterrupted, secure, or error-free.
Access may occasionally be affected by maintenance, technical issues, internet connectivity, third-party services, software failures, or circumstances beyond our reasonable control.
We may modify, suspend, or discontinue portions of the website or services when necessary.
22. Disclaimer of Warranties
To the fullest extent permitted by applicable law, the website and non-clinical services are provided on an “as available” and “as is” basis.
Nova GLP-1 disclaims warranties to the extent permitted by law, including implied warranties relating to merchantability, fitness for a particular purpose, title, and non-infringement.
We do not warrant that the website will always operate without interruption or error, that information will always be complete or current, or that the website will be free of harmful code or technical problems.
Nothing in these Terms is intended to exclude a warranty or right that cannot lawfully be excluded under applicable law.
23. Limitation of Liability
To the fullest extent permitted by applicable law, Nova GLP-1 and its owners, officers, employees, contractors, agents, and service providers will not be responsible for indirect, incidental, consequential, special, exemplary, or punitive damages arising from or related to your use of the website or services.
This limitation does not apply to liability that cannot legally be limited or excluded under applicable law.
Nothing in these Terms is intended to limit the legal rights or remedies available to you under the laws applicable to your state.
24. Independent Healthcare Provider Responsibility
You acknowledge that medical services are provided independently by licensed healthcare professionals and not by Nova GLP-1.
The healthcare provider is responsible for the clinical services provided to you, including medical evaluation, diagnosis when applicable, treatment recommendations, prescribing decisions, medication management, and other professional healthcare decisions.
Nova GLP-1 is not responsible for the independent professional judgment or clinical actions of a healthcare provider to the extent permitted by applicable law.
Questions regarding your medical care should be directed to your healthcare provider.
25. Indemnification
To the extent permitted by applicable law, you agree to be responsible for claims, losses, damages, liabilities, and reasonable expenses arising from your material violation of these Terms, your unlawful use of the website, your fraudulent conduct, or your infringement of another person’s rights.
Nothing in this section requires you to indemnify Nova GLP-1 for conduct that cannot lawfully be subject to indemnification.
26. Dispute Resolution and Arbitration
PLEASE READ THIS SECTION CAREFULLY.
To the extent permitted by applicable law, you and Nova GLP-1 agree that disputes arising directly between you and Nova GLP-1 concerning these Terms or your use of the website will be resolved through individual arbitration rather than in court, except where applicable law provides that a particular claim cannot be arbitrated.
The arbitration agreement will be governed by the Federal Arbitration Act to the extent applicable.
Arbitration will be conducted before a neutral arbitrator under the rules of the arbitration organization selected in the applicable arbitration agreement or, if no organization is specified, an established consumer arbitration provider.
You and Nova GLP-1 agree that disputes will be handled on an individual basis and, to the extent permitted by applicable law, neither party will participate in a class, collective, or representative arbitration involving the other party.
Nothing in this section prevents either party from seeking temporary or equitable relief from a court when such relief is necessary to protect intellectual property, confidential information, or other rights that cannot adequately be protected through arbitration.
Nothing in this arbitration provision is intended to require arbitration of a claim when applicable state or federal law prohibits such a requirement.
Arbitration Opt-Out
If you do not wish to be bound by the arbitration provision, you may opt out by providing written notice to Nova GLP-1 within thirty (30) days after first accepting these Terms.
The notice should identify you, include the email address associated with your account, and clearly state that you are opting out of the arbitration provision.
An arbitration opt-out will not affect the remaining provisions of these Terms.
27. Class Action Waiver
To the extent permitted by applicable law, you and Nova GLP-1 agree that any dispute subject to arbitration will be brought only on an individual basis.
Neither you nor Nova GLP-1 will seek to have a dispute resolved as part of a class, collective, consolidated, or representative proceeding.
If any portion of this waiver is determined to be unenforceable, the remaining portions will remain effective to the extent permitted by law.
28. Governing Law
These Terms will be interpreted and enforced in accordance with applicable federal law and the laws of the state in which you reside, except where federal law or another applicable law requires otherwise.
Nothing in these Terms is intended to deprive you of rights or protections that cannot legally be waived under the laws applicable to you.
29. Copyright Complaints
Nova GLP-1 respects the intellectual property rights of others.
If you believe that material appearing on our website infringes your copyright, you may provide a written notice identifying the copyrighted work, the allegedly infringing material, sufficient information for us to locate it, your contact information, and the other information required by applicable copyright law.

30. Changes to These Terms
We may update these Terms from time to time.
When changes are made, we will post the revised version on the website and update the “Last Updated” date.
Unless a different effective date is stated, revised Terms become effective when posted.
Your continued use of the website after updated Terms become effective constitutes acceptance of the revised Terms to the extent permitted by law.
31. Severability
If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision will be limited or modified only to the extent necessary to make it enforceable, if possible.
The remaining provisions will continue in effect.
32. No Waiver
Our failure to enforce a provision of these Terms does not mean that we waive our right to enforce that provision in the future.
Any waiver must be made in writing to be effective.
33. Assignment
Nova GLP-1 may transfer or assign its rights or obligations under these Terms in connection with a merger, acquisition, corporate restructuring, sale of assets, or similar transaction.
You may not transfer your rights or obligations under these Terms without our prior written consent.
34. Entire Agreement
These Terms, together with any policies or agreements expressly incorporated into them, constitute the agreement between you and Nova GLP-1 concerning your use of the website and services.
If a separate agreement applies to a specific service, that agreement will govern the subject matter addressed by that agreement to the extent of any conflict.
